Netsertive End-User Terms of Use

We appreciate having you as a user of our websites and technology.  Please review these Terms of Use as they are a binding agreement between you, as a user of our websites and technology, and Netsertive, Inc. (“Netsertive”).   If you do not agree, you are prohibited from using our websites and software. Otherwise, by logging into or otherwise accessing any of our websites or software (each a “Site”, collectively “Sites”), you automatically agree to the Terms of Use and the herein referenced privacy policy, and such Terms of Use shall be automatically incorporated into any active agreement between you and Netsertive.

These Terms of Use (“TOU”) govern the use of each of our websites, the services offered on those websites and the software technology accessed from those websites, including but not limited to any AI agents, third-party integrations, third-party hosting, third-party data sources required to provide such websites, related services or downloadable data/content.   

1. Acceptance of Terms

This website and other related Netsertive websites are owned and operated by Netsertive. The services accessed from Sites are subject to the TOU and acceptance of the TOU grants you a non-exclusive, non-transferable, and limited right to use the Sites as long as you comply with the TOU.  You affirm that you are over 18 years of age and competent to accept and comply with the TOU in order to use the Sites.

Netsertive’s Privacy Policy is posted on this site at the URL: https://netsertive.com/privacy-policy and applies to your use of the Sites. By this reference, the Privacy Policy is incorporated into the TOU. 

2. Your Use of the Sites

Access to some of the Sites may require a secure login name, password or code (“Credentials”).  Such Credentials, or a method for you to create the Credentials, shall be provided as required in any separate active agreement.  You are solely responsible for keeping all Credentials information secure and for all uses of the Sites accessed with your Credentials. You agree to notify Netsertive immediately of any unauthorized use of your Credentials.

You may not use the Sites in a way that violates any laws, infringes on anyone’s rights, is offensive or interferes with the functionality of any Sites.  In particular, and without limitation, you may not: attempt or facilitate any unauthorized access including by sharing your login credentials with an unauthorized user; decompile, disassemble or reverse engineer any software; access any data that you do not have the rights to under an active related agreement; or misrepresent yourself on the Sites. In the event we determine that you have violated the TOU, we reserve the right to remove your access to the Sites, deactivate your credentials, remove your account, and take any appropriate legal steps.

Use of the Sites does not convey any ownership of any intellectual property rights to the content you access, except where explicitly provided in an active separate licensing, services or reseller agreement.  By creating or using a user account or otherwise providing contact information such as email, mailing address or phone number, you are agreeing that we may contact you in a manner consistent with professional business practices and our privacy policy.

3. Modifications and Termination

Technology evolves quickly and we maintain a continuous development cycle in order to enhance our Sites, products and services.  We therefore must reserve the right to evolve and modify our Sites at any time without notice. We may add or remove certain functionality over time or change the way a Site is accessed. For major changes or known impacts to you, we have procedures in place to notify you.  You can of course stop using the Sites at any time.

4. Third-party Websites and AI Functions

To the extent that any Site contains links to third-party websites, they are provided for your convenience and such third-party websites are not controlled by Netsertive, nor is Netsertive responsible for their content.  In cases where you use or visit such third-party websites, you are responsible for accepting and complying with any applicable terms of use, privacy policies or similar requirements, and for the uses of the third-party websites. 

Certain technology components commonly known as Artificial Intelligence or AI (“AI”) may be used on the Sites.  Any AI agents and other AI functionality (collectively, “AI Functions”) made available are designed to provide helpful information, support or analyses based upon available information.  Such AI Functions are also subject to certain limitations based on legal or regulatory elements and may change as technology continues to undergo rapid evolution.  We also strive for accuracy, but AI Functions are not flawless and, while they can dramatically increase speed and improve ability to process large amounts of data, they may occasionally provide incorrect, incomplete or outdated information. You should seek to further verify critical details before making major decisions. Importantly, our policy is to use only secure and privately licensed AI development and technology tools, and to specifically not use public or unlicensed AI tools or LLMs for processing the private data of any customer or user of the Sites.  The Netsertive team can provide additional guidance as needed.

5. Warranty and Disclaimer

We provide the Sites using a commercially reasonable standard of care and maintain professional standards to make the Sites functional. However, due to a variety of factors, there are some things that we cannot promise.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF USE, NEITHER NETSERTIVE NOR ITS AGENTS OR SERVICE PROVIDERS (THE “SERVICES THIRD PARTIES”) MAKE ANY SPECIFIC PROMISES ABOUT THE SITES. FOR EXAMPLE, EXCEPT AS EXPLICITLY INCLUDED IN ANY ACTIVE SEPARATE AGREEMENT BETWEEN YOU AND NETSERTIVE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT, THE SPECIFIC FUNCTION, OR THE RELIABILITY OR AVAILABILITY OF THE SITES.  THE SITES ARE PROVIDED “AS IS”.  SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM AND EXCLUDE ALL WARRANTIES.

In no event shall Netsertive or its Services Third Parties be liable for any damages, including any special, indirect or consequential damages resulting from loss of use, data or profits, arising out of or in connection with the use of the Sites. 

 

6. Miscellaneous

Additional terms and conditions may apply to purchases of products or services made on or through the Sites, or to your access and use of certain designated parts of the Sites. If there is a conflict between this TOU and any other terms which are accepted by you as part of a use of a designated part of the Sites or related to any purchases, the latter terms shall control.

The TOU is governed by the laws of North Carolina, without regard to its conflict of laws rules. You agree that the exclusive jurisdiction for any claim or dispute under the TOU and your use of the Sites resides in the courts located in Wake County, NC.

We may modify the TOU at any time and the current TOU will be clearly posted at https://netsertive.com/privacy-policy with a revision date and linked from our applicable Sites.
