  1. Introduction

    Netsertive Inc. (“Netsertive”) is committed to protecting your online privacy while providing our software products and services, including marketing and advertising technology (collectively, “Netsertive Products”), and the use of our website located at https://www.netsertive.com, including any associated subdomains (collectively, the “Site” or “Sites”).

    This privacy policy (“Privacy Policy”) explains how information, including personal data, is collected, used and disclosed by Netsertive with respect to an individual’s use of Netsertive Products directly or indirectly, including via the Site and all software products accessed there, and how personal information is collected, used and processed through the Netsertive Products on behalf of the digital advertisers, publishers, agencies, business partners, and other businesses that use the Netsertive Products (“Clients”). This Privacy Policy does not override the applicable Data Processing Addendum (“DPA”) or applicable Business Associate Agreement (“BAA”) which may be in effect between you and Netsertive.

    Netsertive maintains industry-standard data security standards in order to protect both the storage and the transfer of private data, including encryption, systems monitoring and access controls. With specific regard to marketing and advertising practices, Netsertive also adheres to the Digital Advertising Alliance’s Self-Regulatory Principles, https://youradchoices.com/principles, and the Network Advertising Initiative’s (“NAI”) Self-Regulatory Framework, https://thenai.org/self-regulatory-framework.

  2. Roles and Responsibilities

    Our responsibilities regarding the processing of Personal Data depend entirely on the nature of our relationship with you and the specific data involved. Under applicable global and regional data protection laws (including the GDPR, UK Data Protection Act, and CCPA), Netsertive acts in two distinct capacities:

    1. Netsertive as a Data Controller

      Netsertive acts as a Data Controller for the Personal Data we collect directly for our own business purposes. This includes data collected when you:

      • Visit, interact with, or browse our public website or the Netsertive Products
      • Request a demo, subscribe to our marketing communications, or participate in our events
      • Create or manage your business account, billing profile, or administrative credentials to access the Netsertive Products

      Our Commitment: As a Data Controller, we determine the purposes and means of processing this data, and we are directly responsible for honoring your privacy rights (e.g., access, deletion, and opt-out requests).

    2. Netsertive as a Data Processor

      Netsertive acts as a Data Processor (or “Service Provider” as defined by the CCPA) when we process data on behalf of our business customers (“Clients”) through our proprietary Netsertive Products and software platform. This includes:

      • Client-provided marketing databases, consumer lists, or customer data ingested into the platform
      • End-user engagement metrics and leads generated through our products on behalf of a Client

      Our Commitment: In this role, our Client acts as the Data Controller and maintains ultimate authority over their data. We process this information solely in accordance with the Client’s written instructions, our Master Services Agreement (MSA), and the Data Processing Addendum (DPA). To the extent we process Protected Health Information (PHI) within this scope, such data is strictly governed by an executed Business Associate Agreement (BAA).

  3. Data Collection

    Netsertive may collect, use or disclose various types of personal information when you use the Netsertive Products or Sites or when you voluntarily submit information (“Personal Data”). We may collect identifiers, internet activity information, commercial information, visual or usage pattern information, location information and other things.

    We collect information only in order to provide the Netsertive Products and Sites or to generally operate our business, as permitted by law, including: to deliver on requested features, enhance your user experience, respond to your inquiries, provide information to users or customers, to personalize experiences, for security and troubleshooting, to provide customer or user support, to comply with the law or to otherwise improve the Netsertive Products and Sites technically.

    We maintain data security and confidentiality policies and procedures to keep Personal Data private. Whether or not information we collect is technically Personal Data, we treat it as such if it is combined or linked to any Personal Data.

    We retain Personal Data only for as long as necessary to fulfill the purpose for which it was collected, to comply with legal or regulatory requirements, to enforce agreements, or for disaster recovery and data archival policy purposes. In any case of data retention, such data shall continue to be subject to strict data security and confidentiality requirements.

    1. Categories of Personal Data We May Collect Directly

      1. Identifiers including name, email or postal address, website address, and phone numbers
      2. Business information including company name, business contact information, and company title
      3. Protected classifications including date of birth or gender
      4. Communications content including messages you send, whether by email, postal mail, voice or voicemail, chat platforms, video calls and other similar communications methods
    2. Automatic Collection of Information

      We may use tracking technologies to collect information from the device you use to interact with the Netsertive Products or Sites. This may include:

      1. Device or network activity information such as IP address, browser and version, operating system, ISP, pages visited, usage patterns, times and dates of activity, and similar data.
      2. Location information such as IP address, coordinates and similar, some of which may be considered sensitive personal information under some applicable state privacy laws.
      3. Audio, electronic or visual information such as audio or video recordings when you contact us or attend meetings or events.
      4. Marketing and advertising information, including unique identifiers that can be used for targeted advertisements.
    3. Information We May Collect from Third-Parties.

      1. Identifiers, demographic or interest categories and similar information from consumer data providers or advertising media providers or social media providers.
      2. Information about your interaction with advertising or other marketing products.
    4. Selling and Sharing of Personal Data

      We do not sell Personal Data to any third parties. We only share certain Personal Data with third parties as necessary and as described in Section 7.

  4. Tracking Technologies

    1. Cookies: Cookies are small text files placed on your device by a web server. We may use First-Party Cookies for essential Site functionality (e.g., security and session management) and Third-Party Cookies for analytics and advertising. You can manage your cookie preferences through your browser settings or our consent management function on the Sites.

    2. Tracking Pixels & SDKs: We may use Tracking Pixels (tiny, invisible images or code snippets embedded in web pages or emails) and Mobile SDKs (blocks of code provided by third parties that are integrated into mobile applications). These technologies allow us to monitor user interactions, such as which pages were visited or whether an email was opened, and to collect technical data like device type and IP address.

    3. Purpose: We use these technologies to provide our services, analyze performance, prevent fraud, and deliver relevant advertising. Where required by law, we obtain your explicit consent before deploying non-essential tracking technologies.

  5. Third Party Sites

    The Sites may contain links to other websites not owned or controlled by Netsertive. Any Personal Data you provide on such websites is provided directly to that third party and is subject to that third party’s policies, including its privacy policy. Links to third-parties are provided for your convenience only, and we are not responsible for the content or privacy and security practices and policies of third-party websites to which we link.

  6. Information Security

    Netsertive takes industry-standard data security measures to protect your Personal Data in an effort to prevent loss, unauthorized access, destruction, misuse, modification and disclosure. We operate secure data networks protected by industry standard firewall, data encryption (at rest and in transit), password protection, and physical access control systems. Only authorized personnel are granted access to the information provided by our clients or users of the Sites, and such access is monitored and logged in accordance with our internal data security policies. However, despite our efforts and policies, no security measures are perfect or impenetrable and the transmission of information over the Internet cannot be guaranteed to be completely secure. Although we have implemented contemporary, industry-standard security policies and procedures, we cannot guarantee the security of Personal Data transmitted to our Site.

    To help protect the confidentiality of your Personal Data, you must safeguard your login credentials, including name and password, and not disclose them to any other person. You are responsible for all uses of the Sites and Netsertive Products by any person using your login credentials. Please advise us immediately if you believe your credentials have been discovered by anyone else or have been misused.

  7. Disclosure of Information to Third Parties

    We do not share Personal Data we collect from you on the Sites or through Netsertive Products with non-affiliated third parties except as described in this Privacy Policy or when you give us your consent to do so. We may, however, share your Personal Data with vendors, consultants, and certain other providers (“Service Providers”) who are working with us in connection with the operation of the Sites or the Netsertive Products, as needed to carry out their work. For example, Netsertive may use a third party to manage payment processing. In some cases, the applicable Service Provider may be directly collecting the information from you on our behalf. We are not responsible for the actions of Service Providers or other third parties, nor are we responsible for any additional information you provide directly to these Service Providers or other third parties.

    We may disclose your Personal Data to designated third parties in the good-faith belief that we are authorized or obligated to do so by a legal or regulatory authority; or that doing so is reasonably necessary or appropriate to comply with the law or with legal process or regulatory authorities, to respond to any claims, to protect the rights, property or safety of Netsertive, its users, its employees or the public, or to investigate, prevent or take action regarding suspected or actual prohibited activities, including but not limited to fraud and situations involving potential threats to the physical safety of any person. If you send us a notification of claimed infringement under the Digital Millennium Copyright Act, any Personal Data in your notification may be shared with the person or entity who you claim is infringing your copyrighted material.

    We may disclose and transfer any information, including, without limitation, Personal Data, as part of, or during negotiations of, any merger, consolidation, sale of assets, bankruptcy, financing, or acquisition or in any other situation where Personal Data may be transferred as one of the business assets of Netsertive.

    You understand that when you use the Site, information you enter, post or submit in your account, profile, blogs, groups, forums and any community areas of the Sites (“Community Areas”), as well as any information you share with individuals through the Site, may be available to other users and in some cases (where designated as such) may be publicly available. We recommend you be cautious about sharing your Personal Data, as we are not responsible if you choose to share in these Community Areas or in areas that are publicly available.

    California Civil Code Section § 1798.83 permits users of our Site that are California residents to request certain information regarding our disclosure of Personal Data to third parties for their direct marketing purposes.   8. Children’s Privacy

    1. Not Intended for Minors. The Netsertive Products and Sites are intended for business use by adults, eighteen (18) and older. We do not knowingly collect personal information from individuals under the age of eighteen (18). If you are under the age of eighteen (18), you must stop using the Netsertive Products and Sites and may not provide any personal information to us.

    2. Parental Rights. If we learn that we have inadvertently collected personal information from a minor under eighteen (18) without verifiable parental consent (as required by laws such as the U.S. Children’s Online Privacy Protection Act or “COPPA”), we will take immediate steps to delete that information from our systems. If you believe we might have any information from or about a minor under eighteen (18), please contact us at privacy@netsertive.com.

  9. Users outside of the United States & the Data Privacy Framework

    Our Site is hosted in, and Netsertive Products are delivered from, the United States. It is possible that certain information will be stored on servers in other countries on the “cloud” or other similar online distributed hosting platforms. If you are a user accessing our Sites from the European Union, Asia or any other region with laws governing personal data collection, use, and disclosure that differ from United States laws, please note that you are transferring your Personal Information outside your home jurisdiction, and that by providing your Personal Information you are consenting to the transfer of your Personal Information to the United States and other jurisdictions as indicated above, and to our use of your Personal Information in accordance with this policy.

    1. Data Privacy Framework Compliance. Netsertive complies with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF as set forth by the U.S. Department of Commerce.     2. Dispute Resolution. In compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF (the “Relevant DPFs”), Netsertive commits to cooperate and comply with the advice of the panel established by the EU data protection authorities, the UK Information Commissioner’s Office (ICO), and the Swiss Federal Data Protection and Information Commissioner (FDPIC) with regard to unresolved complaints concerning our handling of personal data received in reliance on the Relevant DPFs.

      Netsertive is also subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission (“FTC”).

      If neither Netsertive nor the applicable dispute resolution mechanism resolves your complaint, you may have the possibility, under certain conditions more fully described on the Data Privacy Framework website shown below, to engage in binding arbitration through the Data Privacy Framework Panel.     3. Liability for Onward Transfer: Netsertive’s accountability for personal data that it receives in the United States under the Relevant DPFs and subsequently transfers to a third party is described in the DPF principles. In particular, Netsertive remains responsible and liable under the DPF principles if third-party agents that it engages to process personal data on its behalf do so in a manner inconsistent with the DPF principles, unless Netsertive proves that it is not responsible for the event giving rise to the damage.

  10. Acceptance of Privacy Policy

    By using the Netsertive Products or Sites, you consent to the collection, use and disclosure of your Personal Data in accordance with the terms of the Privacy Policy. If you do not agree with this Privacy Policy, you must stop using or accessing the Netsertive Products or Sites.

  11. Changes to this Privacy Policy

    We may revise this Privacy Policy at any time and we will alert you of changes by indicating on the Privacy Policy itself the date it was last updated. We encourage you to review this Privacy Policy from time to time to ensure you understand it and any changes to it. Your use of any of the Netsertive Products or Sites following any change(s) to this Privacy Policy will mean you accept such change(s).

  12. Questions about this Privacy Policy or Opting-Out

    If you have any questions about this Privacy Policy or Netsertive’s practices relating to collection, use, or disclosure of Personal Data, or if you wish to verify, correct, update, or delete any personal information we have collected, or if you wish to opt-out of tracking that we may use on our Sites, please contact us by email and we will work with you to take the necessary actions regarding your personal information.
